1. About these Terms
These Terms of Use govern your access to and use of the Mercury Customer Portal operated by Q & Y International Ltd (“Q&Y”, “we”, “us” or “our”).
By accessing, registering for or using the Mercury Customer Portal (“Portal”), you agree to comply with these Terms of Use.
If you do not agree to these Terms of Use, you must not access or use the Portal.
These Terms of Use apply specifically to your use of the Portal. They do not replace or amend any separate terms and conditions governing the purchase or supply of goods and services by Q&Y, including our Terms and Conditions of Sale, credit terms or any other contractual arrangements applicable to your account.
Where there is a conflict between these Terms of Use and a separate agreement governing the sale or supply of goods, the relevant terms governing the sale or supply of those goods will take precedence in relation to that transaction.

3. What the Mercury Portal provides
The Mercury Portal is an online service provided by Q&Y to enable authorised customers and their authorised users to access information and services relating to their Q&Y customer account.
Depending on the customer’s account and the functionality made available by Q&Y, the Portal may allow users to:
- search and view Q&Y products;
- view product specifications and related information;
- view prices applicable to their customer account;
- view account-specific discounts or pricing arrangements;
- check stock and availability information;
- view stock reservations;
- view previous orders;
- view proforma invoices;
- view invoices and other account documents;
- request or create proformas;
- place or request orders where the relevant functionality is available;
- request samples where this service is available;
- access product images and other product information;
- manage certain account or user information; and
- access other services or features introduced by Q&Y from time to time.
The features available to you may depend on your customer account, account status, user permissions and the services Q&Y makes available through the Portal.
Q&Y reserves the right to add, modify, suspend or remove Portal functionality from time to time.
4. Eligibility and authorised users
The Portal is primarily intended for Q&Y trade customers and their authorised representatives.
You may only access a Q&Y customer account if you have been authorised by the relevant customer and, where applicable, by Q&Y.
If you access the Portal on behalf of a company, partnership, sole trader or other organisation, you confirm that you are authorised to act on behalf of that organisation in relation to the Portal.
You must not access another customer’s account without proper authorisation.
You must not allow another person to use your Portal account where doing so would compromise the security of the account or make it impossible for Q&Y to identify the individual accessing the Portal.
Where individual user accounts are provided, each person should use their own individual login credentials.
You are responsible for ensuring that any person within your organisation who is given access to the Portal is authorised to use it and understands their obligations under these Terms.
5. Registration and account information
Where registration is required, you agree to provide information that is accurate, complete and current.
You must notify Q&Y if information associated with your Portal account becomes inaccurate or needs to be updated.
Q&Y may contact you using the contact details associated with your account for matters relating to:
- your Portal account;
- account security;
- orders;
- proformas;
- invoices;
- stock or reservations;
- customer service;
- technical matters; and
- other legitimate business matters relating to your relationship with Q&Y.
You must not create an account using false information or impersonate another person or organisation.
Q&Y may refuse or restrict registration where we reasonably believe that the information provided is inaccurate, fraudulent or unauthorised.
6. Login credentials and account security
You are responsible for keeping your username, password and any other authentication credentials confidential.
You must take reasonable steps to prevent your login credentials from being disclosed to or used by unauthorised persons.
You must not:
- share your password with unauthorised persons;
- allow unauthorised persons to use your account;
- write down or store authentication information in an insecure manner;
- attempt to obtain another user’s password or authentication credentials;
- circumvent authentication or security controls;
- attempt to access an account that does not belong to you; or
- use another person’s credentials without their proper authorisation.
If you believe that your account has been compromised, your password has been disclosed, or someone has accessed your account without authorisation, you must notify Q&Y as soon as reasonably practicable.
Q&Y may temporarily suspend access to an account where we reasonably believe that the account has been compromised or is being used in an unauthorised or insecure manner.
Where additional authentication measures such as one-time passwords or two-factor authentication are used, you must keep the relevant authentication device, application or credentials secure.
7. Responsibility for actions undertaken through an account
Where you are an authorised user of a customer account, actions undertaken through your account may be treated by Q&Y as having been undertaken by you or on behalf of the customer, subject to the applicable contractual terms and the circumstances of the transaction.
You are responsible for checking information entered or submitted through the Portal before submitting it to Q&Y.
If you believe that an order, request, proforma, reservation or other instruction has been submitted incorrectly or without authority, you should contact Q&Y immediately.
8. Customer-specific pricing and commercial information
The Portal may display information that is specific to your Q&Y customer account.
This may include:
- customer-specific prices;
- discounts;
- agreed commercial terms;
- stock availability;
- reservations;
- order history;
- account information;
- credit information;
- proforma information;
- invoice information; and
- other commercially sensitive information.
This information is provided for the use of the authorised customer and its authorised representatives.
You must not disclose, distribute, publish, sell, reproduce or otherwise make customer-specific pricing or other confidential commercial information available to an unauthorised third party.
You must take reasonable steps to prevent unauthorised persons from viewing or obtaining such information.
In particular, you must not knowingly provide access to your Portal account to a competitor of Q&Y or permit an unauthorised third party to use your account to obtain Q&Y pricing, product, stock or commercial information.
9. Product information
Q&Y makes reasonable efforts to ensure that product information displayed through the Portal is accurate and useful.
Product information may include:
- product descriptions;
- dimensions;
- photographs;
- technical specifications;
- grades;
- finishes;
- pack information;
- availability information;
- product codes;
- pricing information; and
- other product-related information.
However, product information may change from time to time.
Photographs and representations of products may not reproduce the exact colour, grain, texture or appearance of natural timber products. Natural wood is inherently variable and differences may occur between individual boards, batches, samples, photographs and finished installations.
Where technical specifications, samples or physical products are relevant to a purchase, you should contact Q&Y for clarification before placing an order if you require confirmation of a particular specification.
10. Prices and account discounts
Prices displayed through the Portal may be calculated or displayed according to the pricing arrangements associated with your customer account.
This may include account-specific discounts, agreed pricing, promotions or other commercial arrangements.
The Portal may display prices based on information available to Q&Y at the time the price is calculated or displayed.
Q&Y reserves the right to correct pricing errors, data errors or system errors.
Unless expressly stated otherwise, the display of a price through the Portal does not by itself constitute acceptance by Q&Y of an order.
The price applicable to a transaction will be determined in accordance with the applicable Q&Y sales terms and the commercial arrangements governing your account.
Where applicable, VAT, delivery charges, surcharges or other applicable charges may be added to the price displayed.
11. Stock availability
Stock availability displayed through the Portal is provided for information purposes and may change at any time.
Stock may be:
- sold to another customer;
- allocated to an existing order;
- reserved;
- moved between locations;
- damaged;
- subject to quality inspection;
- unavailable due to operational circumstances; or
- otherwise unavailable before an order is accepted or fulfilled.
A stock quantity displayed through the Portal should therefore not be treated as an unconditional guarantee that the stated quantity will remain available until an order is accepted and confirmed by Q&Y.
Where stock is specifically reserved for you, the terms applicable to that reservation will determine the extent and duration of the reservation.
12. Stock reservations
Where the Portal permits you to view or create stock reservations, the information displayed will reflect the reservation information recorded by Q&Y’s systems.
A reservation does not necessarily constitute an order or contract for the sale of goods.
Reservations may be subject to expiry dates, minimum quantities, customer account terms or other conditions.
Q&Y reserves the right to cancel or amend a reservation where this is permitted under the applicable commercial arrangements or where a reservation has expired, has been made in error or is otherwise no longer valid.
13. Orders and proformas
Where the Portal allows you to create or submit an order, proforma request or other purchase instruction, submission through the Portal does not necessarily constitute acceptance by Q&Y.
An order becomes binding only in accordance with the applicable Q&Y Terms and Conditions of Sale or other contractual arrangements governing your account.
A proforma invoice is provided in accordance with Q&Y’s normal commercial procedures and does not, by itself, alter the contractual terms applicable to the sale of goods.
You should carefully check:
- product codes;
- quantities;
- prices;
- delivery information;
- customer details;
- billing information; and
- any other relevant information
before submitting an order or request.
If you identify an error, contact Q&Y as soon as possible.
14. Previous orders, invoices and account information
The Portal may provide access to historical orders, invoices, proformas, account information and other records.
Such information is provided to assist you in managing your business relationship with Q&Y.
The Portal records should not be considered a replacement for your own accounting, financial or business records.
Where there is a discrepancy between information displayed on the Portal and an official document or record issued by Q&Y, please contact Q&Y so that the matter can be investigated.
15. Acceptable use
You agree to use the Portal lawfully, responsibly and only for legitimate purposes connected with your business relationship with Q&Y.
You must not use the Portal to:
- commit or facilitate fraud;
- obtain unauthorised access to systems or information;
- attempt to access another customer’s account;
- interfere with the operation or security of the Portal;
- introduce malware, viruses or other malicious software;
- perform unauthorised penetration testing or security testing;
- attempt to bypass authentication or access controls;
- reverse engineer the Portal or its underlying systems except where expressly permitted by law;
- scrape, harvest or systematically collect Portal information without Q&Y’s written permission;
- use automated systems, bots or scripts to interrogate or extract information from the Portal without Q&Y’s written permission;
- overload or disrupt the Portal or its infrastructure;
- use the Portal to obtain information for a competitor;
- reproduce substantial parts of the Portal or its database;
- use information obtained through the Portal for unlawful purposes; or
- assist another person in doing any of the above.
Q&Y may investigate suspected misuse and may take appropriate action where misuse is identified.
16. Intellectual property
Unless otherwise stated, all intellectual property rights in or relating to the Portal belong to Q&Y or its licensors.
This includes, where applicable:
- Portal software;
- website design;
- layout;
- graphics;
- text;
- product descriptions;
- databases;
- catalogues;
- product images;
- logos;
- trademarks;
- documents;
- downloadable materials; and
- other Portal content.
You are granted a limited, non-exclusive, non-transferable right to access and use the Portal for legitimate business purposes connected with your relationship with Q&Y.
You must not copy, reproduce, modify, distribute, sell, licence or commercially exploit Portal content except where permitted by law or expressly authorised by Q&Y.
Nothing in these Terms transfers ownership of any intellectual property to you.
17. Product images and downloadable materials
Where Q&Y provides product images, technical documents, catalogues or other downloadable materials through the Portal, those materials are provided for legitimate business purposes connected with your relationship with Q&Y.
You must not use such materials in a manner that falsely suggests an association with Q&Y or that misrepresents the products.
Where Q&Y expressly permits you to use product images or other materials for your own business or sales activities, that permission is limited to the purpose for which it was provided and may be withdrawn where appropriate.
18. Portal availability
Q&Y will use reasonable efforts to keep the Portal available and operational.
However, we do not guarantee that the Portal will:
- always be available;
- operate without interruption;
- be free from errors;
- be available at any particular time;
- be compatible with every device or browser; or
- remain unchanged.
The Portal may occasionally be unavailable because of:
- planned maintenance;
- system upgrades;
- security measures;
- hardware or software failures;
- telecommunications failures;
- hosting problems;
- internet service interruptions;
- cyber incidents;
- emergency maintenance;
- circumstances outside Q&Y’s reasonable control; or
- other operational requirements.
Where reasonably practicable, Q&Y may provide advance notice of planned maintenance.
19. Changes to the Portal
Q&Y may change, update or improve the Portal from time to time.
This may include:
- adding new features;
- removing obsolete features;
- changing the layout;
- changing search functionality;
- improving security;
- changing authentication methods;
- changing how information is displayed; or
- integrating additional services.
Where a change materially affects your use of the Portal, Q&Y will take reasonable steps to communicate the change where appropriate.
20. Security
Q&Y takes reasonable measures to protect the Portal and the information processed through it.
However, no internet-based service can be guaranteed to be completely secure.
You are responsible for using appropriate security measures on your own devices, including keeping operating systems, browsers and security software appropriately updated.
You should not access the Portal using a device that you reasonably believe is compromised by malware or other malicious software.
If you discover a potential security vulnerability or security incident affecting the Portal, please report it to Q&Y promptly using the contact details provided in these Terms.
You must not exploit a security vulnerability or use a vulnerability to obtain unauthorised access to information or systems.
21. Suspension or termination of access
Q&Y may suspend or restrict your access to the Portal where we reasonably consider that:
- you have breached these Terms;
- your account has been compromised;
- unauthorised access is suspected;
- the Portal is being misused;
- there is a security risk;
- your customer account has been suspended or terminated;
- your relationship with Q&Y has ended;
- access is required to be suspended for legal or regulatory reasons; or
- suspension is reasonably necessary to protect Q&Y, its customers, its systems or other users.
Where reasonably practicable, Q&Y may notify you before or shortly after suspension.
Suspension of Portal access does not necessarily terminate any separate contractual relationship between you and Q&Y.
22. Your responsibility following termination
If your Portal access is terminated or suspended, you must not attempt to regain access without Q&Y’s authorisation.
If you are no longer authorised to access a customer account, you must stop using any Q&Y account credentials and must not retain or use confidential information obtained through the Portal except where required by law.
23. Confidentiality
Information made available to you through the Portal may include confidential or commercially sensitive information belonging to Q&Y or relating to your customer account.
You agree to take reasonable steps to keep such information confidential.
This obligation includes, where applicable:
- customer-specific pricing;
- discounts;
- commercial arrangements;
- stock allocations;
- reservations;
- account information;
- internal product information;
- documents;
- quotations;
- pricing structures; and
- other information that is clearly confidential or commercially sensitive.
Nothing in this clause prevents disclosure where disclosure is required by law or to professional advisers who are themselves subject to appropriate confidentiality obligations.
24. Personal data and privacy
Q&Y processes personal data in accordance with its Privacy Policy and applicable data protection legislation.
Our Privacy Policy explains how Q&Y collects, uses, stores and protects personal information.
You should read our Privacy Policy before using the Portal.
The Portal may process personal information including, depending on how the Portal is used:
- name;
- business contact details;
- email address;
- telephone number;
- login information;
- account information;
- order information;
- invoice and proforma information;
- IP address;
- authentication and security information;
- technical information about your device or browser; and
- information relating to your use of the Portal.
Q&Y may process such information for purposes including providing Portal services, administering customer accounts, processing orders, maintaining security, preventing fraud, providing customer support and complying with legal obligations.
Our Privacy Policy should be read alongside these Terms and is available through the Portal and website.
25. Cookies
The Portal may use cookies and similar technologies to enable essential functions such as authentication, maintaining secure sessions and remembering relevant preferences.
Some cookies may be strictly necessary for the Portal to operate.
Where applicable, non-essential cookies and similar technologies will be used in accordance with Q&Y’s Cookie Policy and applicable law.
You can manage cookies through your browser and, where applicable, through the cookie controls provided by Q&Y.
26. Third-party services and links
The Portal may contain links to, or functionality provided by, third-party websites or services.
Q&Y is not responsible for the availability, content, security, privacy practices or terms of third-party websites or services unless expressly stated otherwise.
Your use of a third-party service may be subject to that third party’s own terms and privacy policy.
You should review those terms before using the relevant third-party service.
27. Accuracy and reliance on Portal information
The Portal is designed to provide convenient access to information relating to your Q&Y account.
Although Q&Y takes reasonable care in maintaining the information displayed, errors or omissions may occasionally occur.
You should contact Q&Y where you require confirmation of information that is material to a transaction.
This is particularly important in relation to:
- pricing;
- product specifications;
- stock;
- reservations;
- delivery information;
- order quantities;
- proformas; and
- invoices.
Nothing in this section excludes or limits liability that cannot lawfully be excluded or limited.
28. Limitation of liability
Nothing in these Terms excludes or limits liability for:
- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation;
- any liability that cannot legally be excluded or limited; or
- any other liability that applicable law does not permit Q&Y to exclude or limit.
Subject to the above, Q&Y will not be responsible for losses arising solely from your failure to:
- keep your account credentials secure;
- maintain appropriate security on your own device;
- use the Portal in accordance with these Terms; or
- notify Q&Y promptly of unauthorised access or suspected account compromise.
Q&Y will not be responsible for losses caused by circumstances outside our reasonable control.
Nothing in these Terms is intended to exclude any statutory rights that cannot lawfully be excluded.
Where you are acting in the course of a business, any liability relating to the sale or supply of goods will be governed by the applicable Q&Y Terms and Conditions of Sale and any other contractual terms applicable to the relevant transaction.
29. Events outside our reasonable control
Q&Y will not be responsible for failure or delay in providing Portal services where such failure or delay results from circumstances outside our reasonable control.
Such circumstances may include:
- internet or telecommunications failures;
- hosting or infrastructure failures;
- cyber attacks;
- malware;
- power failures;
- fire;
- flood;
- severe weather;
- natural disasters;
- industrial disputes;
- government action;
- changes in law or regulation;
- failures of third-party service providers; or
- other circumstances outside Q&Y’s reasonable control.
This clause does not affect any rights or obligations arising under separate contracts relating to the sale or supply of goods.
30. Reporting problems
If you experience a problem with the Portal, including suspected:
- unauthorised access;
- incorrect account information;
- incorrect pricing;
- security vulnerabilities;
- technical errors; or
- other material problems,
please contact Q&Y as soon as reasonably practicable.

31. Changes to these Terms
Q&Y may update these Terms from time to time.
The latest version will be made available through the Portal or Q&Y website.
The “Last updated” date at the beginning of these Terms indicates when the Terms were most recently revised.
Where changes are material, Q&Y will take reasonable steps to bring the changes to users’ attention.
Your continued use of the Portal after the effective date of revised Terms may constitute acceptance of the revised Terms where applicable.
If you do not agree to revised Terms, you should stop using the Portal and contact Q&Y.
32. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales.
Subject to any mandatory legal rights applicable to you, the courts of England and Wales will have jurisdiction in relation to disputes arising from or relating to these Terms.
Nothing in this clause is intended to deprive a consumer of any mandatory legal rights or protections available to them under applicable law.
33. General provisions
If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be treated as modified or removed to the extent necessary, and the remaining provisions will continue to apply.
No failure or delay by Q&Y in exercising any right under these Terms will constitute a waiver of that right.
These Terms do not create a partnership, agency, employment relationship or joint venture between Q&Y and a Portal user.
A person who is not a party to these Terms shall not have any right to enforce any provision of these Terms under the Contracts (Rights of Third Parties) Act 1999, except where expressly stated otherwise.
